Terms and Conditions of Sale - Artists
The Terms and Conditions of Sale govern the conditions for selling your artworks on ARTEDUSA, including the 15% commission, the escrow system, payments, and creator subscriptions.
1. PURPOSE
These Terms and Conditions of Sale govern the commercial relationship between you (the Artist) and ARTEDUSA concerning the sale of your artworks on the platform.
2. LISTING ARTWORKS FOR SALE
Conditions for listing:
- You freely set your sale prices
- You can modify or remove your artworks at any time
- You guarantee that you are the original author and hold all rights
- You commit to providing accurate information (dimensions, techniques, materials, condition)
- You accept that your artworks may be subject to prior moderation to verify compliance
3. COMMISSION AND FEES
Information verified from the source code (route.ts line 111):
- ARTEDUSA commission: 5% on the sale of original artworks
- Stripe payment fees (~1.75% + EUR 0.25): Covered by the 15% commission
- You receive 85% of the set sale price
- No registration or subscription fees for selling your artworks
Example: If you sell an artwork for EUR 1,000, you receive EUR 850 in your bank account (15% commission = EUR 150).
4. ESCROW SYSTEM (TRUSTED THIRD PARTY)
To secure transactions, ARTEDUSA acts as a trusted third party via Stripe Connect:
Escrow process steps:
- 1. The buyer pays -> Funds held in the ARTEDUSA escrow account
- 2. You ship the artwork -> Shipment confirmation with tracking number
- 3. Buyer's right of withdrawal: 14 days after receipt
- 4. Funds automatically transferred to your bank account after the withdrawal period expires
This system protects both parties: the buyer is sure to receive the artwork as described, and you are sure to be paid after delivery.
5. PAYMENT TIMELINES AND METHODS
Payments via Stripe Connect (PCI-DSS Level 1 certified):
- Timeline: 2 to 7 business days after delivery confirmation and expiration of the withdrawal period (14 days)
- Method: Automatic bank transfer to your bank account registered with Stripe
- Notification: Confirmation email for each payment
- Invoice: Automatically generated for each sale and downloadable as PDF
- Currency: Payments in euros (EUR) only
6. CREATOR SUBSCRIPTIONS (EUR 5/MONTH PER SUBSCRIBER)
In addition to the sale of original artworks, ARTEDUSA allows artists to offer a monthly recurring subscription system to their buyers and supporters (hereinafter 'Subscribers').
Legal nature of the subscription:
The subscription constitutes a successive performance contract between the Subscriber and the Artist, with ARTEDUSA acting as a technical and financial intermediary via Stripe Connect. The subscription entitles the Subscriber to exclusive benefits defined by the Artist (priority notifications, early access to new artworks, reserved content).
Pricing and distribution:
- Subscription price: EUR 5.00 incl. VAT per month, paid by the Subscriber
- Artist remuneration: EUR 4.00 net per subscriber per month (80% of the incl. VAT price)
- ARTEDUSA commission: EUR 1.00 per subscriber per month (20% of the incl. VAT price)
- Stripe payment fees (~1.75% + EUR 0.25): Entirely borne by ARTEDUSA from its EUR 1.00 commission. The Artist always receives EUR 4.00 net without any additional deduction.
- VAT: The EUR 5.00 price is incl. VAT. The Artist is responsible for their VAT declaration according to their tax status (basic exemption, standard regime, etc.). ARTEDUSA does not collect VAT on behalf of the Artist.
6.1. PAYMENT AND DISBURSEMENT MECHANISM
Recurring payments via Stripe:
- Automatic debit: The first charge of EUR 5.00 is made immediately upon the Subscriber's sign-up. Subsequent charges occur on the anniversary date each month (e.g.: sign-up on January 15 -> charges on the 15th of each month).
- Payment failure: In case of a failed charge (expired card, insufficient funds, bank rejection), Stripe automatically retries the payment for 7 days. If all attempts fail, the subscription is automatically suspended (status 'past_due') then canceled (status 'unpaid').
- Payment to the Artist: The EUR 4.00 net per subscriber is paid monthly via Stripe Connect to the Artist's bank account, following Stripe's standard schedule (2 to 7 business day delay after the successful charge from the Subscriber).
- Payment grouping: If the Artist has multiple subscribers with different anniversary dates, Stripe makes separate payments for each charge date. There is no single monthly grouping.
- Invoicing: Stripe automatically generates an electronic invoice for each monthly charge. These invoices can be viewed and downloaded in PDF format from the ARTEDUSA artist space.
6.2. DURATION, TERMINATION, AND REFUND
Subscription contract duration:
- Initial duration: 1 month from the date of sign-up
- Tacit renewal: The subscription automatically renews each month by tacit renewal, unless canceled by the Subscriber or the Artist.
- Cancellation by the Subscriber: The Subscriber can cancel their subscription at any time from their ARTEDUSA profile ('My Subscriptions' section). The cancellation takes effect at the end of the current monthly period already paid. No pro-rata refund is issued for the current month.
- Cancellation by the Artist: The Artist can deactivate the subscription system from their artist space. Current subscriptions remain active until their renewal date, then are automatically canceled. Subscribers are notified by email 30 days before deactivation.
- Suspension/Deletion of Artist account: In case of suspension or deletion of the artist account by ARTEDUSA (violation of Terms of Service, illegal content, etc.), all active subscriptions are immediately canceled.
- Right of withdrawal: In accordance with Article L221-28 12 of the French Consumer Code, the 14-day right of withdrawal does NOT apply to digital subscriptions whose execution has begun with the prior consent of the consumer. The Subscriber expressly accepts immediate execution upon sign-up.
6.3. ARTIST OBLIGATIONS
By activating the subscription system, the Artist commits to:
- Providing promised benefits: Honoring commitments made to Subscribers (priority notifications, exclusive content). Non-compliance may lead to cancellations and harm the Artist's reputation.
- Tax declaration: Declaring all subscription income (EUR 4.00 x number of subscribers x 12 months) to the relevant tax authorities according to their status (non-commercial profits for artist-authors, business profits for micro-entrepreneurs, etc.).
- VAT: Managing their VAT according to the applicable tax regime. ARTEDUSA does not collect VAT on behalf of the Artist.
- Invoices: Retaining Stripe invoices for a minimum of 10 years (French accounting obligation - Article L123-22 of the Commercial Code).
- Informing Subscribers: Notifying Subscribers 30 days in advance of any substantial modification to benefits or deactivation of the subscription system.
- Compliance with Terms of Service: Not using the subscription system for illegal, fraudulent activities, or activities contrary to ARTEDUSA's Terms of Service.
6.4. ACTIVATION AND DEACTIVATION
Activating the subscription system:
Activation is optional and is done from the artist space -> Settings -> Creator Subscriptions -> Activate. Once activated, a 'Subscribe (EUR 5/month)' button appears on the Artist's public profile. The Artist must have completed their Stripe Connect account to activate subscriptions.
Deactivation:
The Artist can deactivate the system at any time. Current subscriptions continue until their respective monthly due date. New subscriptions are blocked immediately.
7. ARTIST OBLIGATIONS
As a selling artist, you commit to:
- Declaring all your ARTEDUSA income to the relevant tax authorities (non-commercial profits or according to your tax status)
- Shipping sold artworks within a maximum of 5 business days after receiving the sale notification
- Carefully packaging artworks to avoid any damage during transport (ARTEDUSA provides packaging recommendations)
- Providing a shipping tracking number via a reliable carrier
- Managing your invoices and accounting obligations (ARTEDUSA provides PDF invoices for each sale)
- Immediately informing ARTEDUSA in case of any issue preventing shipment
- Responding to buyer messages within a reasonable timeframe (48 hours maximum)
8. RETURNS, WITHDRAWAL, AND REFUNDS
Buyer's right of withdrawal:
Under French law (Articles L221-18 et seq. of the Consumer Code), the buyer has 14 days from receipt of the artwork to exercise their right of withdrawal.
- If the buyer exercises their right of withdrawal: You must accept the return. The artwork is sent back to you. The buyer is fully refunded. No payment is made in your favor.
- Return shipping costs: Borne by the buyer (unless the artwork is non-conforming or damaged)
- Non-conforming or damaged artwork: Free mediation offered by ARTEDUSA to find an amicable solution (exchange, partial refund, repair)
Important: Custom artworks or artworks made to special order are not subject to the right of withdrawal (Article L221-28 of the French Consumer Code).
9. WARRANTIES AND LIABILITY
Your warranties as an artist:
- You warrant that you are the original author of all artworks sold
- You warrant that your artworks do not infringe any copyright, trademark, or other intellectual property rights of third parties
- You warrant that the descriptions, dimensions, and materials stated are accurate
- You warrant that the artworks are in good condition and consistent with the published photos
In case of breach of these warranties, you may be held liable and your account may be suspended or deleted.
10. PERFORMANCE DATA
ARTEDUSA automatically collects your commercial performance metrics (GMV, MRR, conversion rate, time to sell) to improve the platform and provide you with statistics in your artist space.
11. DISPUTES AND MEDIATION
In case of a dispute with a buyer regarding a sale (delay, non-conformity, damage), ARTEDUSA offers free mediation to find an amicable solution.
Mediation process:
- 1. The buyer or you contact support@artedusa.com with the dispute details
- 2. ARTEDUSA examines the case and requests evidence (photos, emails, tracking number)
- 3. ARTEDUSA proposes an amicable solution within 7 business days
- 4. If agreed: Solution is applied. If disagreed: The parties may resort to a consumer mediator or the courts
Consumer mediation: We do not currently have an accredited mediator.
12. CHANGES TO THE TERMS AND CONDITIONS OF SALE
ARTEDUSA reserves the right to modify these Terms and Conditions of Sale at any time.
In case of substantial changes, you will be notified by email 30 days before the new Terms and Conditions of Sale take effect.
Sales in progress at the time of the change remain subject to the Terms and Conditions of Sale in effect at the time of the sale.
13. APPLICABLE LAW AND JURISDICTION
These Terms and Conditions of Sale are governed by French law.
In case of dispute, the French courts shall have sole jurisdiction.
Before any legal action, free mediation is offered (see Article 11).
