1. PURPOSE AND ACCEPTANCE OF THE TERMS OF SERVICE

These Terms of Service (hereinafter 'ToS') govern the relationship between ARTEDUSA and artist creators using the platform to display and sell their artworks.

ARTEDUSA is a technology enabling artists to create their artist space, present their original artworks, and sell them directly to buyers, with a commission of only 5%.

By creating an artist account on ARTEDUSA, you unconditionally accept these ToS as well as our Terms and Conditions of Sale and our Privacy Policy.

3. REGISTRATION AND ARTIST ACCOUNT

To use ARTEDUSA as an artist, you must create an artist account meeting the following conditions:

• You must be of legal age (18 years minimum) or have your parents'/legal guardians' authorization
• You must provide accurate and complete information during registration (name, first name, email, address)
• You commit to keeping your information up to date
• You are responsible for the confidentiality of your password
• You may only create one artist account per person
• You commit not to assign, transfer, or lend your account to a third party

ARTEDUSA reserves the right to verify the authenticity of your identity and to refuse or suspend your account in case of fraudulent or inaccurate information.

4. ACCOUNT VERIFICATION AND CERTIFICATION

ARTEDUSA requires identity verification to sell on the platform. This verification is mandatory and strengthens buyer confidence.

Verification process:

• Authenticity verification: Proof that you are indeed the author of the artworks (studio photos, creation process, past exhibitions)

Verification is mandatory to sell on ARTEDUSA. Without approved verification, you will not be able to publish artworks for sale.

5. INTELLECTUAL PROPERTY AND COPYRIGHT

FUNDAMENTAL PRINCIPLE: Your artworks remain your exclusive property. By using ARTEDUSA, you do NOT transfer ANY copyright to the platform.

Non-exclusive license granted to ARTEDUSA:

By publishing your artworks on ARTEDUSA, you grant the platform a non-exclusive, limited, revocable, and free license to:

• Distribute your artworks on artedusa.com (artist space, profile page)
• Promote your artworks on ARTEDUSA social media (Instagram, Facebook)
• Create thumbnails and technical previews for web optimization
• Include your artworks in the platform's newsletters and promotional communications

IMPORTANT: ARTEDUSA CANNOT sell reproductions of your artworks, modify them, or use them for other commercial purposes without your explicit written consent. The license ends immediately when you remove an artwork or delete your account.

6. ARTIST OBLIGATIONS

As an artist on ARTEDUSA, you commit to:

• Guaranteeing that you are the original author of all published artworks
• Not publishing artworks that infringe the copyright of third parties (no plagiarism, copying, or unauthorized reproduction)
• Not publishing illegal, defamatory, violent, pornographic, racist, or discriminatory content
• Respecting copyright, trademarks, and other intellectual property rights of third parties
• Providing accurate and honest descriptions of your artworks (dimensions, techniques, materials)
• Honoring your sales by shipping artworks within the agreed timeframe (5 business days maximum)
• Declaring all your ARTEDUSA income to the relevant tax authorities
• Not circumventing the platform to sell directly to buyers contacted through ARTEDUSA

7. PROHIBITED CONTENT

It is strictly prohibited to publish on ARTEDUSA:

• Counterfeit, copied artworks, or artworks infringing the copyright of third parties
• Pornographic, child pornographic, or sexually explicit content
• Violent, hateful, racist, discriminatory content, or content inciting violence
• Defamatory, insulting content, or content damaging the reputation of others
• Content glorifying crimes against humanity, terrorism, or hatred
• Content violating the privacy of third parties (unauthorized photos of identifiable persons)
• Advertising content or spam

ARTEDUSA reserves the right to immediately remove any content violating these prohibitions and to suspend or delete the offending artist's account, without notice and without compensation.

8. MODERATION AND SANCTIONS

ARTEDUSA reserves the right to moderate content published on the platform to ensure compliance with these ToS and applicable laws.

In case of ToS violation, ARTEDUSA may, at its discretion and without notice:

• Remove content violating the ToS
• Temporarily suspend your artist account (until the issue is resolved)
• Permanently delete your account in case of serious or repeated violation
• Report illegal content to the relevant authorities
• Refuse to make pending payments if fraud is proven

You have a right of reply. If you disagree with a sanction, you can contact support@artedusa.com within 15 days to present your arguments. ARTEDUSA will examine your request and respond within 30 days.

9. SPONSORED CONTENT (UNDER DEVELOPMENT)

ARTEDUSA is currently developing a sponsored promotion system in certain categories, working on the Google Ads model.

Principle: Artists will be able to pay to appear at the top of results in a given category, with a clearly visible 'Sponsored' badge.

Artists will be notified by email and notification 30 days before the launch of this feature. Participation will not be mandatory.

10. USE OF THE PLATFORM

You commit to using ARTEDUSA fairly and in accordance with its intended purpose. The following is specifically prohibited:

• Attempting to hack, alter, or circumvent the platform's security systems
• Using robots, scripts, or any automated means to access the platform
• Collecting personal data of other users (scraping)
• Harassing, threatening, or intimidating other users
• Impersonating a third party or creating fake accounts
• Publishing links to malicious or fraudulent websites

11. ARTEDUSA'S LIABILITY

ARTEDUSA acts as a host and technical intermediary between artists and buyers. As such:

ARTEDUSA cannot be held liable for content published by artists

ARTEDUSA is not responsible for disputes between artists and buyers (but offers free mediation)

ARTEDUSA endeavors to ensure platform availability 24/7 but does not guarantee uninterrupted availability

ARTEDUSA does not guarantee the commercial success of artists on the platform

Limitation of liability: ARTEDUSA shall not be liable for indirect damages (loss of revenue, loss of opportunity, moral damage) except in case of gross negligence or intentional misconduct.

12. FORCE MAJEURE

ARTEDUSA cannot be held liable for failure to perform its obligations resulting from a force majeure event as defined by French case law (natural disaster, war, strike, power outage, cyberattack, etc.).

13. DURATION AND TERMINATION

These ToS are entered into for an indefinite period from the creation of your artist account.

• Termination by the artist: You can delete your account at any time from your artist space. Deletion is immediate and permanent.
• Termination by ARTEDUSA: In case of serious or repeated ToS violation, ARTEDUSA may terminate your account with 15 days' notice (except for serious violations requiring immediate suspension).
• Effects of termination: Your artworks will be removed from the platform. Sales in progress will be honored. Your personal data will be deleted within 30 days (except invoices retained for 10 years for legal obligations).

14. CHANGES TO THE TERMS OF SERVICE

ARTEDUSA reserves the right to modify these ToS at any time to adapt to legal, technical, or commercial developments.

In case of substantial changes, you will be notified by email 30 days before the new ToS take effect. Your continued use of the platform after this date constitutes acceptance of the new ToS.

If you refuse the new ToS, you can delete your account within this 30-day period.

ARTEDUSA commits to complying with the General Data Protection Regulation (GDPR) and to protecting your personal data.

16. APPLICABLE LAW AND DISPUTE RESOLUTION

These ToS are governed by French law.

In case of a dispute, we invite you to contact our customer service at support@artedusa.com to attempt to find an amicable solution.

Failing an amicable solution, the French courts shall have sole jurisdiction.
