Terms and Conditions of Sale - Partner Galleries


The Terms and Conditions of Sale govern the commercial terms applicable to partner galleries on ARTEDUSA, including the EUR 30 monthly subscription, the 15% commission, the escrow system, and payment methods.


1. PURPOSE


These Terms and Conditions of Sale govern the commercial relationship between you (the Partner Gallery) and ARTEDUSA concerning the sale of artworks by your represented artists on the platform, as well as the terms of your partner subscription.

2. PARTNER SUBSCRIPTION


Access to sales features on ARTEDUSA requires a monthly subscription:

  • Rate: EUR 30.00 incl. VAT per month
  • Free trial period: 14 calendar days from account activation
  • Payment: By credit card via Stripe, automatic monthly charge on the anniversary date
  • Renewal: Monthly tacit renewal, cancellation possible at any time
  • Cancellation takes effect at the end of the current monthly period already paid
  • No pro-rata refund is issued for the current month

In case of payment failure (expired card, insufficient funds), Stripe automatically retries payment for 7 days. If all attempts fail, the subscription is suspended and artworks are removed from the storefront.

3. LISTING ARTWORKS FOR SALE


Conditions for listing:

  • You freely set the sale prices of your artists' artworks
  • You can modify or remove artworks at any time
  • You guarantee that you hold the representation and sale rights for each published artwork
  • You commit to providing accurate information (dimensions, techniques, materials, condition, authenticity)
  • Artworks are subject to prior moderation to verify compliance

4. COMMISSION AND FEES


Revenue distribution on each artwork sale:

  • ARTEDUSA commission: 15% on the sale price of each artwork
  • The partner gallery receives 85% of the sale price
  • Stripe payment fees (~1.75% + EUR 0.25) are included in the 15% commission
  • The commission is in addition to the monthly EUR 30/month subscription

Example: If you sell an artwork for EUR 1,000, you receive EUR 850 in your bank account (15% commission = EUR 150). The monthly EUR 30 subscription is billed separately.

5. ESCROW SYSTEM (TRUSTED THIRD PARTY)


To secure transactions, ARTEDUSA acts as a trusted third party via Stripe Connect:

Escrow process steps:

  • 1. The buyer pays -> Funds held in the ARTEDUSA escrow account
  • 2. You ship the artwork -> Shipment confirmation with tracking number
  • 3. Buyer's right of withdrawal: 14 days after receipt
  • 4. Funds automatically transferred to your bank account after the withdrawal period expires

This system protects both parties: the buyer is sure to receive the artwork as described, and you are sure to be paid after delivery.

6. PAYMENT TIMELINES AND METHODS


Sales payments via Stripe Connect (PCI-DSS Level 1 certified):

  • Timeline: 2 to 7 business days after delivery confirmation and expiration of the withdrawal period (14 days)
  • Method: Automatic bank transfer to the bank account registered with Stripe
  • Notification: Confirmation email for each payment received
  • Invoice: Automatically generated for each sale and downloadable as PDF
  • Currency: Payments in euros (EUR) only

7. PARTNER GALLERY OBLIGATIONS


As a partner gallery selling on ARTEDUSA, you commit to:

  • Shipping sold artworks within a maximum of 5 business days after order confirmation
  • Packaging artworks professionally and securely, adapted to the nature of the artwork
  • Providing a valid tracking number for each shipment
  • Insuring shipments for artworks valued over EUR 500
  • Managing returns in accordance with the 14-day right of withdrawal
  • Paying your artists their share according to your contractual agreements
  • Retaining proof of your representation agreements with your artists

8. RIGHT OF WITHDRAWAL


In accordance with European distance selling legislation:

  • The buyer has 14 calendar days after receiving the artwork to exercise their right of withdrawal
  • The artwork must be returned in its original condition, with its packaging and certificates
  • Return shipping costs are borne by the buyer, unless the artwork is non-conforming
  • Refund is issued within 14 days following receipt of the returned artwork

9. SUBSCRIPTION CANCELLATION


You can cancel your partner subscription at any time:

  • From your partner space, 'My Subscription' section
  • By email to support@artedusa.com
  • Cancellation takes effect at the end of the current monthly period
  • Sales in progress are honored normally after cancellation
  • Pending funds will be paid to you according to standard timelines
  • Your invoices and history remain accessible for 30 days after cancellation

During the 14-day trial period, you can cancel at no cost. After the trial period, no pro-rata refund is issued for the current month.

10. APPLICABLE LAW


These Terms and Conditions of Sale are governed by French law. In case of dispute, the parties commit to seeking an amicable solution. Failing that, the dispute shall be submitted to the competent courts of Nice (France).
