1. PURPOSE AND ACCEPTANCE OF THE TERMS OF SERVICE

These Terms of Service (hereinafter 'ToS') govern the relationship between ARTEDUSA and partner galleries using the platform to represent and sell the artworks of their artists.

ARTEDUSA is a platform enabling partner galleries to create their professional space, manage the artists they represent, and sell their artworks to buyers, with a 15% commission on sales.

By creating a partner gallery account on ARTEDUSA, you unconditionally accept these ToS as well as our Terms and Conditions of Sale and our Privacy Policy.

3. REGISTRATION AND PARTNER GALLERY ACCOUNT

To use ARTEDUSA as a partner gallery, you must create an account meeting the following conditions:

• You must represent a registered legal entity (SIRET, Tax ID, or equivalent)
• You must provide the company name, registration number, and physical address of the establishment
• The designated administrator contact must be authorized to commit the establishment
• You must provide accurate and verifiable information during registration
• You commit to keeping your information up to date
• Only one partner gallery account is allowed per establishment

ARTEDUSA reserves the right to verify the authenticity of your establishment through official registries (INSEE, trade register) and to request additional documents (Kbis, SIRET certificate, legal representative's identity document).

4. ACCOUNT VERIFICATION AND APPROVAL

Creating a partner gallery account is subject to a verification and approval process by the ARTEDUSA team:

Verification process:

• Your registration request will be reviewed within 48 business hours
• Verification of the legal existence of the establishment (SIRET/Tax ID number)
• Verification of the declared physical address
• Possible request for additional documents (Kbis, RCS, identity document)
• You will receive a confirmation email once your account is approved

Access to artist management and sales features is only available after account approval and activation of the partner subscription.

5. PARTNER SUBSCRIPTION

Using the ARTEDUSA platform as a partner gallery requires a monthly subscription:

• Rate: EUR 30.00 incl. VAT per month
• Trial period: 14 free days from account activation
• Renewal: Monthly tacit renewal unless canceled
• Payment: By credit card via Stripe (automatic monthly charge)
• The subscription provides access to all partner features: artist management, artwork publishing, sales dashboard, invoicing

In case of non-payment of the subscription, your account will be suspended and published artworks will no longer be visible on the platform. Sales in progress and pending payments are not affected by the suspension.

6. MANAGEMENT OF REPRESENTED ARTISTS

As a partner gallery, you can add and manage the artists you represent:

• You can add artists from your partner space
• You are responsible for the accuracy of information regarding the artists (biography, career, exhibitions)
• You must have a representation contract or mandate with each artist added
• You guarantee that you have obtained the artist's consent for the publication of their artworks on ARTEDUSA
• The artist retains all copyright and intellectual property rights over their artworks

ARTEDUSA may request proof of your right to represent an artist at any time. In case of contestation by an artist, ARTEDUSA reserves the right to immediately remove the artworks in question.

7. INTELLECTUAL PROPERTY

FUNDAMENTAL PRINCIPLE: Artworks remain the exclusive property of their authors (the artists). The partner gallery does not acquire any copyright by publishing artworks on ARTEDUSA.

Non-exclusive license granted to ARTEDUSA:

By publishing artworks on ARTEDUSA on behalf of your artists, you grant the platform a non-exclusive, limited, revocable, and free license to:

• Distribute artworks on artedusa.com (gallery space, artist pages)
• Promote artworks on ARTEDUSA social media (Instagram, Facebook)
• Create thumbnails and technical previews for web optimization
• Include artworks in the platform's newsletters and promotional communications

IMPORTANT: ARTEDUSA CANNOT sell reproductions of the artworks, modify them, or use them for other commercial purposes without the explicit written consent of both the artist and the gallery. The license ends immediately when you remove an artwork or delete your account.

8. PARTNER GALLERY RESPONSIBILITIES

As a partner gallery on ARTEDUSA, you commit to:

• Guaranteeing that you have the necessary rights to represent each artist and sell their artworks
• Providing accurate and honest descriptions of artworks (dimensions, techniques, materials, condition, authenticity)
• Honoring sales by shipping artworks within the agreed timeframe (5 business days maximum)
• Respecting listed prices and not engaging in misleading pricing
• Responding to buyer inquiries within a reasonable timeframe (48 business hours)
• Declaring all income generated through ARTEDUSA to the relevant tax authorities
• Not circumventing the platform to sell directly to buyers contacted through ARTEDUSA
• Respecting the 14-day right of withdrawal granted to buyers

9. PROHIBITED CONTENT

It is strictly prohibited to publish on ARTEDUSA:

• Counterfeit, copied artworks, or artworks infringing the copyright of third parties
• Artworks for which you do not hold the right to sell or represent
• Pornographic, child pornographic, or sexually explicit content
• Violent, hateful, racist, discriminatory content, or content inciting violence
• Content glorifying crimes against humanity, terrorism, or hatred
• False or misleading information about the authenticity, origin, or value of artworks

10. SUSPENSION AND TERMINATION

ARTEDUSA reserves the right to suspend or terminate your partner gallery account in the following cases:

• Non-payment of the monthly subscription after formal notice
• Violation of these ToS or the Terms and Conditions of Sale
• Publication of prohibited content (Article 9)
• False or fraudulent information at registration
• Lack of representation rights over published artists or artworks
• Repeated complaints from buyers or artists
• Extended account inactivity (more than 12 months without login)

In case of termination, sales in progress will be honored in accordance with the Terms and Conditions of Sale. Pending funds will be paid to you within the scheduled timelines. You will be able to download your invoices for 30 days after termination.

11. LIMITATION OF LIABILITY

ARTEDUSA is a technical intermediary and cannot be held liable for:

• The quality, authenticity, or conformity of artworks sold by partner galleries
• Disputes between the partner gallery and its represented artists
• Temporary service interruptions related to maintenance or technical issues
• Data loss resulting from events beyond its control (force majeure)

12. APPLICABLE LAW AND JURISDICTION

These ToS are governed by French law. In case of dispute, the parties commit to seeking an amicable solution. Failing that, the dispute shall be submitted to the competent courts of Nice (France).
